1. Scope and Key Terms
An “affiliate” is a participant approved to promote Next-Cart through an assigned referral link. An “eligible payment” is a verified successful payment that meets the attribution and program requirements. A “conversion” is an eligible order counted under a campaign rule, not each payment notification or payment capture.
The “referral window” is the 30-day period used to attribute a payment to an affiliate click. The separate “commission hold” is the 30-day review period following a verified successful payment.
An “approved, available balance” includes only approved commissions available for the relevant payout. It excludes pending or held amounts, reversed commissions, amounts already paid, and amounts reserved for another payout.
These Terms govern affiliate participation. Customer purchases and migration delivery remain subject to the applicable Terms of Service, Refund Policy, Agreement, and order-specific terms. Participation does not make you an employee or authorize you to bind Next-Cart.
2. Joining the Program
Apply directly through Next-Cart and provide accurate account and promotional-channel information. You do not need to purchase a migration service to apply. Applications are subject to review; approval is not automatic. We may request information needed to assess an application.
You must have authority to accept these Terms for yourself or the organization you represent. Participation begins after approval and acceptance of the applicable Terms.
3. Your Account and Referral Links
Use the referral link assigned to your account. Keep your contact and payout details accurate and protect your login credentials. Your affiliate dashboard provides access to referral links, tracked purchases, and commission balances.
A tracked purchase or displayed pending amount is not a promise of payment. Eligibility, approval, holds, adjustments, and payout requirements still apply. Contact us if you believe a record is incorrect.
4. Referral Attribution
Eligible payments are attributed to the most recent eligible affiliate click within the 30-day referral window. An earlier affiliate click does not retain priority over a later eligible click.
The window runs for 30 consecutive 24-hour periods from the eligible click. The payment must occur before that window expires. A new eligible affiliate click establishes a new window; logging in, creating an account, or making a purchase does not extend the existing window.
The relevant payment time is the verified time the payment succeeded, not the time a notification was received. Attribution is assessed for the payment; it is not an indefinite assignment of a customer to one affiliate.
Use your assigned link correctly. Tracking limitations, the absence of required consent, or incomplete records can affect whether a referral can be verified. Send supporting information to support if you believe a qualifying referral is missing.
5. Eligible Purchases
Eligible paid purchases may include new purchases, renewals, and upgrades across Standard Migration, Managed Migration, and Custom Migration. Eligibility is not limited to a customer's first order.
Commissions are transaction-based, not automatically recurring. A repeat purchase or renewal may qualify only when its payment meets the attribution window and other applicable requirements.
Unpaid, cancelled, refunded, reversed, fraudulent, or otherwise ineligible amounts do not earn commission. Where an order is paid in installments, only amounts actually received within an active referral window qualify. Each payment has its own hold; the full order value must not be counted again for every installment.
6. Standard Commission and Calculation
The standard commission rate is 20%, unless an applicable campaign changes that rate under Section 7.
Proposed calculation basis: commission is calculated on eligible service revenue actually received after discounts, excluding separately stated taxes, refunds, reversals, and uncollected amounts. Ordinary payment-processing fees charged to Next-Cart are not deducted from this basis.
For example, US$500 in eligible service revenue at the standard 20% rate produces US$100 in commission before any applicable bonus or later adjustment. This is an illustration, not an earnings guarantee.
The payout threshold is US$200. The commission ledger currency, rounding, conversion source, conversion timing, and treatment of credits must be specified before they are applied; they are not established by this example.
7. Campaign Rates and Bonuses
7.1 Rate Overrides
Campaigns may offer a different commission rate, bonuses, or both. Where several rate overrides apply, the last override in the application order determined by Next-Cart replaces the earlier rate. Rates are not added together, and the highest rate does not automatically prevail.
Eligible bonuses from earlier applicable rules remain available and may accumulate with later eligible bonuses, even if the final commission rate is lower. The same bonus entitlement is paid only once.
7.2 Bonuses for Groups of Conversions
A campaign may award a percentage of eligible revenue for every completed group of a stated number of conversions, or a fixed amount for each completed group.
A percentage bonus is calculated on the eligible revenue of the conversions in that completed group, not on the commission. A fixed group bonus is paid per completed group, not per order.
Each order counts once within each bonus rule. Multiple payment captures or duplicate notifications do not create additional conversions for the same order. Orders in an incomplete group can still earn ordinary commission but do not yet earn that group bonus.
7.3 Percentage Bonus Example
Assume 12 eligible orders: orders 1–5 generate US$1,000 in eligible revenue, orders 6–10 generate US$2,000, and orders 11–12 generate US$600. Total revenue is US$3,600 and ordinary commission at 20% is US$720.
A “5% bonus for every 5 conversions” awards US$50 for the first completed group and US$100 for the second. The final two orders do not complete another group. Total bonus is US$150, giving US$870 in ordinary commission and bonuses.
7.4 Fixed Bonus Example
Using the same 12 orders, a “US$50 bonus for every 5 conversions” awards US$50 for each of the two completed groups. Total bonus is US$100, giving US$820 in ordinary commission and bonuses.
Sections 7.3 and 7.4 are separate examples, not two offers to combine automatically.
7.5 Overlapping Campaign Example
For five eligible orders generating US$1,000, Campaign A offers a 25% rate plus a 5% revenue bonus per five conversions. Campaign B applies later and offers a 22% rate plus US$50 per five conversions.
If both bonus requirements are met, the result is US$220 commission at the final 22% rate, plus US$50 from each bonus: US$320 in total. The 25% and 22% rates are not added together.
7.6 Campaign Conditions
Campaign eligibility, participation dates, counting periods, grouping order, incomplete-group treatment, and refund adjustments must be described in the applicable campaign conditions. Do not assume groups reset monthly or transfer to a different campaign.
Bonuses involving several payments are approved only after all required payments have completed their holds and no further reason for a hold remains. Refunds or reversals may affect qualifying groups and bonuses.
Campaigns change only the specified rates or bonuses. They do not automatically change the referral window, commission hold, payout cutoff, or US$200 threshold. All examples above are illustrative and do not mean an amount has been approved or is immediately payable.
8. Commission Holds and Approval
Each commission is held for 30 days from the associated verified successful payment. This hold is separate from the referral window and from the monthly payout schedule.
Completion of the hold does not automatically make a commission payable. It must also pass eligibility review and be approved. An unresolved refund, payment dispute, attribution issue, or suspected abuse may require further review.
We will explain a continued hold where appropriate and review relevant supporting information. Only approved, available amounts count toward the payout threshold.
9. Monthly Payouts
Payouts are processed on the first business day of the following month when the approved, available balance reaches at least US$200 at the preceding month-end cutoff.
The cutoff is immediately before 00:00 on the first calendar day of the payout month, using Vietnam time (UTC+7). Amounts approved after the cutoff are considered for a later cycle, even if approved before that month's payout is processed.
Business days follow the Vietnam calendar and exclude Saturdays, Sundays, and holidays designated in the program's payout calendar. Processing is the initiation of the transfer; it does not guarantee when your bank or payment provider will credit the funds.
Balances below US$200 carry forward. You are not guaranteed a payout every month. Available payment methods, required payout information, fees, currency conversion arrangements, and documentation requirements must be disclosed before you select a payout method. No specific provider or fee-free payout is promised by these Terms.
Proposed pre-transfer review: we may recheck the amounts included in a closed payout cycle. If refunds or adjustments reduce that cycle's eligible amount below US$200, it carries forward. Amounts approved after the cutoff are not used to top up the closed cycle.
10. Refunds, Reversals, and Corrections
Commissions and bonuses may be corrected when the underlying payment is refunded, reversed, duplicated, incorrectly attributed, or found ineligible. A partial refund affects the corresponding eligible revenue and may affect a campaign group's bonus.
If an adjustment occurs after payout, a documented negative balance or offset against future commissions may result. These Terms do not authorize an automatic debit from your bank account.
Contact support with the relevant order, referral, and payment details if you dispute an adjustment. A shared IP address alone is not sufficient evidence of fraud.
11. Responsible Promotion
Describe Next-Cart accurately and use current service information. Do not make unsupported promises about migration results, earnings, approval, or payment timing. Clearly and prominently disclose that you may earn a commission from your recommendations, as required by applicable advertising rules.
Do not send unlawful spam, publish deceptive claims, fabricate reviews, or imply that you are Next-Cart or are authorized to make commitments on its behalf.
Proposed approval requirements: obtain written permission before bidding on Next-Cart brand terms in paid search, offering cashback or referral incentives, presenting a discount code as official, or using domains or account names that could be confused with Next-Cart.
12. Prohibited Referrals and Misuse
Proposed eligibility restriction: self-referrals, including purchases for yourself or a business you control, do not qualify. Referrals of genuinely independent agency clients are not automatically self-referrals.
Do not create fake transactions, manipulate attribution, force or conceal referral clicks, insert tracking without a genuine referral action, or attempt to claim another affiliate's commission.
Use Next-Cart's name and any authorized brand assets only for permitted promotion and in accordance with applicable brand guidance. No ownership of Next-Cart's intellectual property is transferred to you.
13. Privacy and Tracking
Affiliate participation involves account, referral, transaction, review, and payout information. The applicable privacy and cookie notices must explain the actual data collected, purposes, sharing, retention, and available choices for this program.
Do not collect or disclose customer credentials, store data, or personal information that you are not authorized to handle. Comply with applicable privacy requirements on your own channels.
These Terms do not replace any notice or consent required for referral tracking. A tracking method is not automatically exempt from consent requirements merely because it uses URL parameters or server-side processing.
14. Reviews and Suspension
Proposed enforcement process: Next-Cart may investigate suspected material breaches, fraud, security risks, or inaccurate account information and temporarily restrict affected links, access, or commissions while reviewing the issue.
Where appropriate, we will explain the reason and request relevant information. Any correction or withholding must be tied to the affected activity and supporting evidence; suspension alone does not erase unrelated valid earned commissions.
15. Leaving the Program
You may request to leave the program by contacting support. Next-Cart may end participation for a material breach or discontinue the program with appropriate notice.
Valid accrued commissions remain subject to verification, adjustments, and the applicable payout rules. Inactivity or failure to accept new Terms does not by itself forfeit valid earned commissions.
The normal payout threshold remains US$200. These Terms do not provide for automatic forfeiture of a remaining balance or an automatic exemption from that threshold. Contact support about any unpaid balance when leaving the program.
16. Existing Referrals and Program Transition
Any move from a previous affiliate system must be governed by published transition arrangements covering existing links, clicks, manually confirmed referrals, and unpaid commissions.
Documented accrued rights are preserved. A system migration does not by itself restart completed hold periods or apply the new standard rate retroactively to every historic transaction.
17. Changes to These Terms
Updates will identify their version and effective date. Next-Cart will provide notice of material changes and request renewed acceptance where required.
Any change notice must explain how the update affects unconverted referral clicks and transactions already in progress. New rules must not silently alter documented accrued entitlements.
A campaign-specific rule governs only the rate or bonus scope it expressly addresses. It does not override unrelated provisions of these Terms.
18. Questions and Disputes
Contact support first so that the relevant records can be reviewed. Nothing in these Terms limits rights or protections that cannot be excluded under applicable law.
