Agreement

This Migration Service Agreement ("Agreement") describes the order-specific relationship between Next-Cart and the customer for a purchased Migration Service. It works together with the Terms of Service, Refund Policy, Service Level, Data Policy, Data Policy, Pricing and Checkout information, and any approved quote or written scope that applies to the order.

1. Formation of the Agreement

An Agreement is formed when a customer purchases a Migration Service through Checkout or otherwise accepts an approved Next-Cart quote or written scope. The applicable order may identify the Migration Path, Entity Points Plan, Migration Service, Add-ons, Custom Migration scope, fees, and other service-specific requirements.

2. Order-Specific Service Details

The service details for an order may include:

  • Source Platform and Target Platform;
  • Source Store and Target Store information;
  • selected Standard, Managed, or Custom Migration Service;
  • purchased Entity Points Plan and available capacity;
  • selected Add-ons;
  • approved Custom Migration requirements;
  • agreed deliverables, milestones, or validation requirements; and
  • approved fees and other commercial terms.

If a detail is not included in the order, approved quote, or written scope, it is not automatically part of the purchased service.

3. Scope of Work

Next-Cart will perform or provide access to the Migration Service according to the purchased service type and the supported Migration Path. Standard Migration is primarily customer-led. Managed Migration is performed by Next-Cart within supported and agreed requirements. Custom Migration is limited to the work that has passed feasibility review and is included in an approved scope or quote.

The Agreement does not guarantee identical representation of every source field, URL, relationship, custom field, extension record, application behavior, storefront design, or third-party function on the Target Platform unless that result is expressly included in the approved scope.

4. Next-Cart Responsibilities

Next-Cart will:

  • provide the purchased Migration Service according to the applicable supported capability and approved scope;
  • use commercially reasonable efforts to investigate supported migration issues reported through the designated support channels;
  • communicate when a requirement needs an Add-on, Custom Migration review, or a change to the approved scope; and
  • handle customer data and access information according to the Data Policy and Data Policy.

5. Customer Responsibilities

The customer will:

  • provide accurate information about the Migration Path, data, business requirements, and requested result;
  • maintain valid access to the Source Store, Target Store, APIs, uploaded files, hosting, or other systems when reasonably required;
  • ensure that the customer has the authority to provide and migrate the relevant data;
  • maintain appropriate backups before significant migration or launch-related changes;
  • avoid changes that materially interfere with migration or validation while active work is in progress, unless otherwise agreed; and
  • review representative migrated data and provide timely feedback or approval when requested.

Customer delays, unavailable access, third-party restrictions, or material changes to the Source Store or Target Store may affect the schedule and result.

6. Entity Points and Capacity

The purchased Entity Points Plan provides counted migration capacity under the applicable Service License. Entity Points are consumed according to the rules in the Terms of Service. If additional counted capacity is required, the customer may need to upgrade the Entity Points Plan or purchase additional capacity before migration can continue.

7. Add-ons and Custom Migration

Add-ons are separate capabilities with their own supported scope and may be purchased in addition to the base Migration Service. Custom Migration requires technical review and an approved scope or quote.

Only approved Custom Migration work is included. New requirements, changed mappings, additional custom fields, new third-party data, revised transformation rules, or other material changes requested after approval may require a new feasibility review, revised scope, additional fee, or updated schedule.

8. Change Requests

Either party may identify a required change to the service scope. Before additional work begins, Next-Cart may document the requested change, its feasibility, any effect on fees, capacity, Add-ons, responsibilities, or delivery timing, and whether customer approval is required.

A requested change is not included merely because it was discussed. Material changes must be accepted through an updated quote, written scope, Checkout purchase, or another Next-Cart-approved confirmation method.

9. Validation and Acceptance

The customer is responsible for reviewing representative migration results before production launch. Validation should focus on data and behaviors that are material to the customer's business, including relevant Products, Customers, Orders, Blog Posts, Images, Variants, Categories, relationships, URLs, redirects, and custom requirements included in scope.

Processing completion alone does not guarantee that the Target Store is ready for production. Issues should be reported with representative examples through the designated support channel so they can be investigated under the applicable Service Level.

10. Fees and Payment

Fees are determined by the purchased Entity Points Plan, Migration Service, Add-ons, approved Custom Migration scope, additional capacity, and other applicable order items. The amount accepted at Checkout and any separately approved quote or charge form the commercial basis of the order. Taxes, discounts, or payment-provider adjustments may apply.

11. Service Timing and Dependencies

Any estimated migration or support timing depends on data volume, platform behavior, API and server performance, customer response, access availability, approved scope, and third-party conditions. A specific completion date or response commitment applies only when it is expressly confirmed in the applicable order, approved scope, or Service Level.

12. Renewal, Completion, and Cancellation

Service License renewal and Entity Points Plan upgrade are separate actions. Renewal extends or restores the applicable license period according to the terms offered at the time of renewal. Completion, cancellation, suspension, and refund rights are governed by the Terms of Service, Refund Policy, and any order-specific terms that apply.

13. Related Policies

This Agreement should be read together with the Terms of Service, Refund Policy, Service Level, Data Policy, Data Policy, and applicable order-specific documents. If an approved order-specific document expressly states that a provision overrides this Agreement for a defined scope, that provision applies only to the extent stated.
