Affiliate Program Terms

These Terms explain how the Next-Cart Affiliate Program works, including which referrals qualify, how we calculate commissions and bonuses, and when you can receive payment.

1. About these Terms

These Terms explain how the Next-Cart Affiliate Program works, including which referrals qualify, how we calculate commissions and bonuses, and when you can receive payment. “Next-Cart”, “we” and “us” refer to the Program operator. “You” means the individual or organisation approved to join the Program.

By expressly accepting these Terms, you agree to the version presented to you. If you join on behalf of an organisation, you confirm that you have authority to accept it. The Affiliate Program is separate from buying Next-Cart services and from any Partner Program. Joining does not give you customer discounts, ownership of referred customers or authority to represent Next-Cart. Next-Cart Partners may also apply to join the Affiliate Program and earn commissions by referring independent customers whose orders meet these Terms.

These Terms govern affiliate earnings. Campaigns may change the commission rate or add bonuses as explained in Section 7. The customer’s purchase remains subject to the applicable Agreement and Refund Policy. Promotional summaries do not override these Terms.

2. Joining and managing your account

To apply, you must be legally able to enter into this agreement and provide accurate, current information about your account and promotional channels. You must also complete any reasonably required identity, email or payment checks. We review applications and may approve them, ask for more information or decline them. Applying does not mean you have been approved. You do not need to buy a migration service to apply.

Applications require an active Next-Cart account with a verified email address. You cannot submit parallel applications while one is pending. If we request more information, provide it through the existing application. After a rejection, a new application is available only if we allow reapplication and any stated waiting period has ended.

Your participation starts after we confirm your approval and you accept the applicable Terms. Keep your login details secure and your contact and payment information up to date. Report suspected account misuse promptly. Do not use duplicate accounts to avoid restrictions or hide who operates your account. We may request information reasonably needed to check compliance or make a lawful payment.

Your affiliate profile, referral code, balance and history are linked to your original Next-Cart customer account, not to the email address alone. Changing the account email does not transfer or recreate these records and does not change your PayPal payout email. Creating another account with the same email after deletion does not automatically recover the former profile or balance. Contact support to resolve any entitlement associated with the former account.

If you are moving from the previous affiliate system, see Section 16. You do not automatically need to submit a new application.

3. Referral links and tracking labels

Share your assigned referral code through authorised links to Next-Cart’s main public website, called “Marketing” in these Terms. Customers complete purchases on Dash, our account and purchasing website. A referral link directly to Dash or Docs does not itself create an eligible affiliate click. Docs, our documentation website, does not participate in affiliate tracking.

Your referral code identifies you as the affiliate. An optional SubID or Tracking ID is a label you choose to distinguish channels or placements in your reports. A Click ID identifies a recorded click. Campaigns contain reward rules managed by Next-Cart. Adding a label or URL parameter does not make a referral eligible, enrol you in a campaign or set your commission rate.

Use referral links to supported, public HTTPS pages on the Marketing site in the correct language. A saved link’s destination and SubID cannot be changed directly; create a separate link for a different destination or SubID. Keep personal information, confidential information and malicious content out of tracking labels.

Archiving a link only changes its organisation in your list. It does not delete its history or revoke copies already shared, and an otherwise valid archived link can still receive referral attribution. Restoring a link requires its destination to remain valid. A destination that is no longer public or supported, or a link expressly disabled for security or compliance reasons, may cease to produce new eligible clicks. This does not automatically cancel valid commissions already earned.

4. How referrals are assigned to orders

The referring affiliate is confirmed separately for each order as soon as the order is successfully created at checkout, not when it is paid. Simply opening checkout without creating an order does not confirm a referral.

The system saves the latest valid referral recorded before the order was created. Once saved, that referral stays with the order. Clicking another affiliate’s link later does not change it.

For example:

  •  A customer clicks Affiliate A’s link, and the system records a valid referral.
  •  The customer creates order X. The system saves A’s referral with that order.
  •  The customer then clicks Affiliate B’s link.
  •  When the customer returns to pay for order X, the system still considers A for the commission, not B.
  •  If the customer creates a new order Y, it may be attributed to B, provided B’s referral has been recorded by the system and is valid when order Y is created.

An order created without a valid referral cannot have one added by clicking a link later. Saving a referral with an order does not guarantee commission; the purchase must still meet the other eligibility conditions in these Terms.

5. Purchases that earn commission

Valid paid orders within the attribution window may earn commission. This includes new purchases, renewals and upgrades for Standard Migration, Managed Migration and Custom Migration, not just a customer’s first purchase. Each order must involve a genuine customer, a verified successful payment and valid referral attribution, and must meet these Terms.

A later purchase or renewal outside the saved referral’s 30-day window does not qualify simply because you first referred the customer. A new eligible click may qualify a new order created while that referral is valid, but cannot update an existing order. The Program does not provide automatic recurring or lifetime commissions.

Free demos, unpaid or cancelled orders, failed payments and actions with no new payment do not earn commission. Fraudulent purchases and self-referrals are excluded under Section 11. Refunds and payment reversals are handled under Section 10.

Purchases by Next-Cart Partners. Orders placed by customers who are Next-Cart Partners are not eligible for affiliate commissions and do not count toward campaign bonuses, even if the Partner places the order through an affiliate’s referral link. This is a commission eligibility rule, not a finding of fraud.

For an upgrade, commission applies only to the additional qualifying amount paid. Amounts already credited on an earlier order are not counted again. For payments collected in instalments, each verified qualifying amount must be collected within the attribution window and is counted once. Each instalment has its own holding period.

6. How we calculate commission

The standard commission rate is 20% of qualifying service revenue, unless a campaign changes it under Section 7. Qualifying service revenue is the amount actually paid for an eligible service after discounts. It excludes separately stated taxes and amounts refunded, reversed or never collected. We do not deduct our ordinary payment-processing costs from this amount.

For orders with several items, we allocate discounts and refunds reasonably to the affected items. The same revenue never earns commission twice. We apply the relevant percentage and round the result to the nearest cent in the USD commission ledger. Later adjustments use the same calculation basis.

For example, qualifying service revenue of USD 199 at the default 20% rate produces USD 39.80 in commission before any qualifying bonus or later adjustment. This example does not establish a service price.

We keep a record of the referral attribution, calculation basis and rule version used for each commission. Editing a link, campaign or rate later does not silently change past calculations. We may still correct errors or adjust refunds and invalid transactions under these Terms.

7. Campaign rates and bonuses

Some campaigns apply automatically to eligible affiliates. Others require enrolment, an invitation or assignment by Next-Cart. The published campaign details explain its dates, eligible affiliates and purchases, any required acceptance, and the commission and bonus rules. If a campaign requires you to join or accept, being able to view it does not mean you are enrolled. Participation does not apply to earlier transactions unless we expressly announce otherwise.

7.1 Which commission rate applies

If several campaign rates apply, the last applicable rate override in Next-Cart’s system replaces the earlier rate. We do not add commission rates together or automatically select the highest one. “Last” means the order in which the system applies the rules, not when you joined or changed a URL parameter. Eligible bonuses can still be added to the final commission.

A campaign that inherits its rate keeps the rate reached after earlier applicable rules; it does not automatically reset the rate to the standard 20%. An explicit 0% override sets the ordinary percentage commission to zero and is not the same as inheriting a rate. Separately eligible bonuses remain subject to their own rules.

7.2 How group bonuses work

Bonuses from different applicable rules can add up. If a later rule changes your commission rate, you keep any bonuses you qualify for under earlier rules, even if the final rate is lower. Each bonus is added to commission at the final rate. You must meet every bonus’s conditions, and the same bonus entitlement is paid only once.

For a bonus offered “for every Y conversions”, one conversion means one qualifying paid order that meets Sections 4–5 and the campaign conditions. Each order counts once for each bonus rule. Duplicate payment notifications or several instalments on the same order do not create extra conversions.

We assess each bonus rule separately. Within its counting period, orders form complete groups of Y conversions without counting the same order in two groups for that rule. Each complete group earns one bonus. An order may count under more than one distinct bonus rule if it meets each rule’s conditions.

With a threshold of five, 12 qualifying conversions form two complete groups and leave two conversions towards the next group. Those two do not yet earn that rule's bonus, but still earn the applicable ordinary commission. Bonuses do not replace ordinary commission.

7.3 Example 1 Percentage bonus

Bonus: 5% for every 5 conversions

For a percentage bonus, multiply the stated percentage by the total qualifying service revenue in each completed group. Use the revenue definition in Section 6. The percentage applies to revenue, not to the commission earned. Completing a group does not extend its bonus to orders outside that group.

Assume a 20% ordinary commission rate and 12 qualifying conversions within the same campaign's counting period. Their qualifying revenues are grouped as shown below. All amounts are in USD, before later adjustments and subject to the holding and payout rules. These are illustrative campaign terms, not a standing offer.

The first group's bonus is 5% × USD 1,000 = USD 50, not 5% × USD 200 commission = USD 10. The second group's bonus is USD 100 because its qualifying revenue is higher. Conversions 11–12 have not completed a third group, so their USD 600 of revenue does not yet earn this bonus.

7.4 Example 2 Fixed amount bonus

Bonus: $50 for every 5 conversions

A fixed bonus pays the stated amount once for each completed group of qualifying conversions. It is not paid for each order and is not a percentage of revenue or commission. To calculate the total, multiply the fixed bonus by the number of complete groups.

Using the same 12 conversions, revenues and 20% ordinary commission rate as in Example 1, the result is below. All amounts are in USD and remain subject to the same holding, adjustment and payout rules.

Two complete groups earn 2 × USD 50 = USD 100 in bonuses. The second group's bonus stays USD 50 despite its higher revenue. The two remaining conversions do not yet earn a third bonus.

7.5 When several campaigns apply

For example, five conversions with combined qualifying revenue of USD 1,000 satisfy both of these rules:

Campaign A sets a 25% commission rate plus a 5% revenue bonus for every five conversions.

Campaign B, applied later in the system’s rule order, sets a 22% rate plus USD 50 for every five conversions.

If all conditions of both bonuses are met, the final rate is 22%. Both bonuses remain payable, subject to the other Terms.

Total: 22% × USD 1,000 + 5% × USD 1,000 + USD 50 = USD 320.

The 25% and 22% commission rates are not added together, and 25% does not automatically take priority. Each distinct bonus is counted once. The examples above do not automatically entitle every affiliate to both bonuses.

7.6 Campaign expiry and bonus approval

Once a campaign ends, its rules do not apply to new transactions outside its eligibility period. The standard rate or other applicable rules then apply.

Campaigns do not change the 30-day attribution window, minimum holding period or payout requirements. A purchase-based bonus can be approved only after every payment needed to earn it has completed its required hold and there is no other reason to keep it on hold. Later refunds may affect eligibility under Section 10.

8. Holding periods and commission status

A new commission starts as Pending. It must remain in the validation period for at least 30 consecutive 24-hour periods after the underlying verified successful payment. This is separate from the 30-day referral window. It does not mean you will be paid on day 30, and refunds or chargebacks may still affect the commission later.

After the minimum period, a valid commission may become Approved once all required checks are complete. Held means an amount is temporarily unavailable because of an unresolved refund, dispute, compliance issue or another documented review. Finishing the 30-day period does not automatically release a held amount. We aim to resolve reviews promptly and explain them where we reasonably can without compromising security or legal obligations.

Your approved available balance contains approved, unpaid amounts after reversals and adjustments. It excludes amounts on hold or already reserved for a payout. Pending, held, reversed and paid amounts do not count towards the payout threshold. An amount reserved for one payout cannot be used for another.

9. Monthly payouts and the cutoff

Regular payouts require at least USD 200 in approved available balance. This includes qualifying unpaid amounts carried over from earlier months. Pending or held amounts cannot be used to reach the threshold.

We calculate each payout cycle’s eligible balance at the end of the previous calendar month, in Vietnam time (UTC+7). The cutoff is the instant before 00:00 on the first day of the payout month. Amounts that become approved available after this cutoff go into a later cycle, even if they are approved before the current month’s processing date.

We process qualifying payouts on the first working day of the following month. We use Next-Cart’s Vietnam payout calendar in UTC+7, excluding Saturdays, Sundays and the holidays or other non-working dates listed in that calendar. We communicate the processing date and any exceptional calendar changes through your affiliate account or Program notices.

The processing date is when we start the payment. It does not guarantee that your bank or payment provider will credit the money that day.

For example, USD 190 approved available plus USD 50 pending at month-end does not qualify. USD 220 approved available at month-end does qualify, subject to remaining valid and payable. Reaching USD 200 only after month-end does not move that balance into the already closed cycle.

Balances below USD 200 carry forward. Reaching the threshold does not trigger an immediate or on-demand payout. Before processing, we check again for refunds, adjustments, duplicate payments and legal or payment restrictions. If the amount still eligible for that cycle falls below USD 200, it carries forward. Newly approved amounts after the cutoff cannot be added to bring a closed cycle back above the threshold.

Reserved means that funds have been set aside for a payout, not that they have been transferred. If the transfer result is unknown, those funds remain reserved during reconciliation and cannot be used for a second payout. We record a payout as paid only after checking evidence that the transfer was made. If it is confirmed that no transfer occurred and the payout is cancelled, its reservation is released; this cancellation is not a refund or a reversal instruction to PayPal.

An email, a dashboard confirmation or a displayed future date is not, by itself, proof that money was transferred or received. Contact support about discrepancies so that the payout record and provider evidence can be checked together.

PayPal is a supported payment method for affiliate payouts. We send each payout to the PayPal account saved in your payout details at the time we make the transfer. Keep those details accurate and up to date. Changing them after a transfer does not redirect money already sent. Provide complete, valid payout details and any reasonably necessary tax or verification documents. Before you choose a payment arrangement, we disclose the supported methods, payout currency, any recipient fees and any currency-conversion method. We assess the threshold in USD. Any conversion of non-USD revenue follows a disclosed, consistent method. We do not make undisclosed deductions and itemise any legally required withholding.

If a payment is delayed or fails because of incorrect details, a provider problem, legal restrictions or an unresolved review, the unpaid amount stays on record. Once the issue is resolved, it is processed in the next applicable cycle under these requirements. A failed transfer is not a completed payment. You are responsible for your tax reporting and liabilities; Next-Cart remains responsible for any withholding or reporting required of it by law.

10. Refunds and commission adjustments

A full refund or payment reversal cancels the commission for that payment. A partial refund reduces commission according to the qualifying revenue refunded. During an open payment dispute, we may place the affected commission on hold. We can restore it if the payment is confirmed valid and all other conditions are met.

We adjust bonuses only where a refund, reversal or invalid transaction changes whether their stated conditions are met. We do not remove unrelated valid commissions or bonuses because another payment was reversed. We may also correct duplicate credits and clear calculation errors.

If we have already paid an affected commission, we may record a negative adjustment and deduct the related overpayment from future commissions. We explain the adjustment in your account or by notice. Any separate recovery must follow applicable law. These Terms do not allow us to debit your bank or payment account automatically. You can request a review of any adjustment.

11. Promotion rules

Promote Next-Cart honestly and follow the advertising and communications rules that apply to you. Clearly state that you may earn commission, placing the disclosure beside the relevant recommendation or link in language your audience understands. Do not present paid promotion as an unpaid independent opinion or invent testimonials or results.

Do not create fake clicks or orders, use bots, place referral cookies without a genuine click, use hidden frames or forced redirects, or take credit for another affiliate’s referrals. Do not bypass privacy choices, send unlawful unsolicited messages or impersonate Next-Cart. Misleading claims about services, prices or earnings and unlawful, harmful or rights-infringing content are also prohibited.

Self-referrals are not allowed. This includes purchases for yourself or a business you own or control, and arrangements that effectively turn your commission into a discount on your own purchase. Using another account does not make your purchase an independent referral. You may refer genuine independent clients even if you also provide them with separate professional services.

You need prior written permission to offer cashback or purchase incentives, publish codes presented as official discounts, bid on Next-Cart brand terms or confusing variations in paid search, or register confusingly similar domains or accounts. Permission for one activity does not allow fraud, undisclosed promotion or other prohibited conduct. You are responsible for promotional work you commission from others.

12. Using the brand and working independently

While you are authorised to participate, you may use approved Next-Cart names, logos and promotional materials only to promote the Program and in line with any brand instructions we provide. This permission is limited and non-exclusive. It does not transfer intellectual-property rights or make you an official or exclusive representative or an employee. When reasonably requested, remove or correct unauthorised or outdated materials.

You work independently and pay your own promotional costs. You cannot commit Next-Cart to an agreement, collect customer payments for us or promise terms we have not authorised. We contract directly with customers for migration services. You may have separate lawful relationships with those customers for your own services. A referral does not give either party ownership of the customer’s independent business relationships.

13. Privacy and data protection

We use account, referral, transaction and payment information to run the Program, verify commissions, prevent abuse and meet applicable obligations. Our published privacy and cookie notices explain this processing. Tracking may use referral identifiers, permitted browser storage, account links and server records. These Terms do not replace any required privacy notice, lawful basis or consent.

For security and commission reviews, authorised staff may compare relevant account and transaction records with available login records of the affiliate and the referred customer, including login times, IP addresses, device or browser information, and recorded city and country. These records are used for verification, not disclosed as customer-identifying reports to affiliates, and remain subject to the applicable privacy notices and retention rules. A shared IP address alone is not proof of fraud.

Respect privacy choices and follow the data-protection and electronic-marketing rules that apply to your activities. Do not put personal data in SubIDs or customer login or payment details in referral links. Share personal information with Next-Cart only when necessary, lawful and appropriately protected.

Affiliate reports do not give you unrestricted access to customer identities, order details or other affiliates’ information. We retain data for the operational, accounting, dispute and legal purposes described in the relevant notices. A referral alone is not a reason to keep data indefinitely.

14. Records and resolving questions

Dashboard figures may change while we verify and reconcile events. We keep transaction and adjustment records and may reasonably request evidence of your promotional sources, account control or right to receive payment. A shared IP address or a single risk signal does not by itself prove fraud.

Tell support promptly if you suspect a missing referral, incorrect rate or payout error. Include the relevant link or transaction reference and any information you can lawfully share. We review reasonably available evidence, correct confirmed errors and explain the outcome where possible. A tracking failure does not automatically mean either party acted improperly. We may withhold sensitive security details or other people’s personal data. Your statutory rights to complain or bring a claim remain unchanged.

15. Suspension and leaving the Program

You can ask support to end your participation. We may suspend or end it for a material breach, fraud, legal restrictions, security risks or closure of the Program. Where appropriate, we give notice and an opportunity to correct the issue. Urgent protective action may happen without advance notice. The notice should explain what happens to new referrals and amounts under review.

A temporary suspension does not automatically cancel valid commissions. We keep affected amounts on hold while we review them and make any justified adjustments. If your participation ends, new Program activity stops at the stated termination time. Commissions earned before then are reviewed under the usual holding and adjustment rules before we determine your final eligible balance.

The USD 200 minimum also applies when your participation ends. If your final eligible balance is below USD 200 after all required checks, holding periods and adjustments, it will not be paid. There are no exceptions to this minimum. A final eligible balance of USD 200 or more remains subject to the normal payout requirements. Any transfer with an unknown result must be checked before the final balance is settled, to avoid paying the same amount twice.

Declining updated Terms or archiving a link does not, by itself, cancel valid earnings. Records and terms needed for outstanding payments, disputes, confidentiality and legal compliance continue to apply after you leave. Leaving the Program does not itself close your separate Next-Cart customer account or cancel a purchased service.

16. Updates and moving from the previous system

We notify you of material updates and their effective date through an appropriate Program notice. For an affiliate profile that has already been activated, a request to accept updated Terms restricts access to and actions in the Affiliate portal until the current version is accepted. That request alone does not suspend the profile, stop otherwise eligible commissions, erase balances or prevent an otherwise valid payout. Separate suspension, account-security and payout restrictions still apply. It does not require a new application or prevent use of unrelated purchased services.

Changes do not reduce valid commissions already earned under the rules that applied at the time. Refunds, fraud and genuine errors remain subject to the relevant adjustment rules. For future activity, the version and effective date communicated to you determine which Terms apply.

A profile newly added from the previous system is different: it waits for you to accept the current Terms before its first activation in the new system. An administrator cannot accept on your behalf. New referral eligibility begins at the recorded activation time and is not backdated to activity before activation. You receive a new referral code; old links are not automatically converted into the new code. Existing documented balances and entitlements are reconciled separately as described below. Acceptance does not override a separate suspension.

When moving from the previous system, we reconcile existing balances, verified payment dates, accepted terms and documented referral commitments using available records. Accepting new Terms does not by itself restart a hold or erase an old balance. Earlier entitlements remain subject to the rules or written arrangements that applied when they arose, unless a lawful transition is expressly agreed. We will communicate instructions for old links and activity during the transition separately.

Only reconciled commissions from the previous system that were approved and remain unpaid are carried over as legacy balance entries. They are not new orders or conversions and do not generate new campaign bonuses. Original reference dates are retained for reconciliation; for the new system’s monthly cutoff, a carried-over amount enters the approved balance when it is actually recorded as approved in Dash, not on a backdated approval date. This does not restart the commission’s original holding period.

Ordinary payout of that balance requires an activated, eligible affiliate profile and the applicable payout checks. Recording the balance in the new system does not waive any payment already due under an earlier agreement or an expressly agreed transition arrangement.

17. Responsibilities and limits

We do not guarantee a particular income, conversion rate, uninterrupted service or tracking on every device and browser. You choose how much time and money to invest. We remain responsible for administering valid commissions under these Terms and meeting established payment obligations.

Each party is responsible for losses caused by its breach or unlawful conduct to the extent required by applicable law. Events beyond reasonable control may delay affected obligations only as much as necessary. The affected party must take reasonable steps to limit the impact and give notice. Such events do not erase valid accrued balances. Nothing in these Terms excludes liability for fraud or intentional misconduct, or any liability or statutory right that cannot legally be excluded or limited.

18. Disputes and language versions

If you have a disagreement with us, please contact support first so we can try to resolve it. This does not limit any right to seek another remedy that cannot legally be waived. Mandatory legal protections and jurisdiction rules continue to apply.

The English, Vietnamese, French, German, Italian and Spanish versions are intended to describe the same commercial rules. Please report translation differences so we can clarify them. No translation removes mandatory protections. If a provision cannot be enforced, the rest of the Terms continue to apply as far as the law allows. Choosing not to enforce a provision once does not mean we give up the right to enforce it later.

19. Contact and related policies

For applications, tracking questions, commission reviews, payment issues, notices or requests to leave, email [email protected] or use the support channel in your Next-Cart account.

Read these Terms together with the privacy and cookie notices that apply to Program tracking. Customer purchases are governed separately by the Terms of Service, Refund Policy and Agreement. The public Affiliate Terms page and the acceptance record in Dash should show the same version and effective date.
