These Terms of Service ("Terms") govern access to and use of Next-Cart's website, Migration Services, support, Add-ons, and related features. By creating an account, purchasing a Migration Service, starting a migration, or otherwise using Next-Cart, you agree to these Terms and the policies and order-specific documents that apply to your purchase, including the Refund Policy, Service Level, Data Policy, applicable Agreement, approved quote or scope, and the information presented at Checkout.

1. Acceptance and Scope

These Terms apply to customers and authorized users of Next-Cart Migration Services. If you do not agree to these Terms, you must not purchase or use the Service. Next-Cart may update these Terms as its services and operating model evolve. Material changes will be published with an updated effective date.

2. Definitions

Source Store

The store, website, database, file, API source, or other approved data source from which data is migrated.

Target Store

The destination store, website, platform, or other approved environment to which data is migrated.

Migration Path

The approved Source Platform-to-Target Platform combination associated with a migration.

Entity Points

Entity Points are Next-Cart's weighted capacity model for selected counted data. Products, Customers, Orders, and Blog Posts are the counted data types used for Entity Points calculation. Current coefficients and capacity rules are shown in the applicable Pricing, Checkout, or Next-Cart documentation.

Entity Points Plan

An Entity Points Plan is the purchased capacity tier that determines the amount of counted migration capacity available under the applicable Service License.

Service License

A Service License is the purchased entitlement to use the selected Migration Service, Entity Points capacity, and applicable features for the approved Migration Path during the applicable license period.
Add-on An Add-on is a separately purchased capability that extends supported migration configuration or processing, such as filtering, transformation, mapping, or another function made available by Next-Cart.
Custom Migration Custom Migration is separately scoped work for requirements that fall outside standard supported behavior and require technical review, tailored handling, modification, or custom migration logic.

3. Migration Services

Next-Cart offers different Migration Services based on the level of customer involvement and customization required.

  • Standard Migration is primarily customer-led using supported Next-Cart functionality, with support provided under the applicable Service Level.
  • Managed Migration is Next-Cart-led within the supported and agreed scope. Managed Migration does not automatically include unsupported data, bespoke development, or custom migration logic.
  • Custom Migration is used when a requirement needs tailored handling beyond supported Standard or Managed Migration capability. All Custom Migration work is subject to feasibility review and an approved scope or quote.

4. Supported Data and Migration Scope

Supported data depends on the selected Migration Path and the capabilities published by Next-Cart for the applicable Source Platform and Target Platform. A recognized Migration Path does not mean that every field, relationship, URL structure, application record, custom field, or third-party behavior can be transferred in an identical form. Target Platform structures and limitations may require mapping, transformation, Add-ons, or Custom Migration review. Website design, themes, storefront functionality, and third-party application functionality are not included unless explicitly stated in an approved scope.

5. Entity Points and Capacity

Entity Points determine counted migration capacity; they do not represent the complete technical complexity of a migration. Quantities entered during plan selection or Checkout are used to estimate capacity and do not automatically act as migration filters. If more counted data exists than originally estimated, migration may continue while sufficient Entity Points remain available.

Eligible counted records consume Entity Points when they are successfully migrated for the first time under the applicable Service License. Records already recorded under the same applicable Service License are not automatically charged again solely because another supported migration action processes them. Eligible new counted records added later may consume remaining Entity Points when successfully migrated for the first time. If available capacity is exhausted, migration may pause until additional capacity is purchased or the Entity Points Plan is upgraded.

6. Plans, Upgrades, and Additional Capacity

Customers may upgrade to a higher Entity Points Plan when additional counted capacity is required. Where the applicable pricing structure permits, the upgrade charge is based on the difference between the current plan and the higher plan. An Entity Points Plan upgrade increases capacity but does not by itself renew or extend the Service License period. Current capacity, upgrade pricing, and any additional capacity blocks are determined by the Pricing Page, account interface, or Checkout at the time of purchase.

7. Service License and Renewal

The Service License governs the period during which the purchased Migration Service and related features may be used for the applicable Migration Path. Renewal and plan upgrade are separate actions. Renewal extends or restores the applicable license period according to the terms offered at the time of renewal. A renewal does not automatically include new Custom Migration requirements; new or changed custom scope may require a new technical review and quote.

8. Additional Migration Options

After a migration has been performed, Next-Cart may provide additional migration options for the same supported Migration Path, including continuing with the last used configuration, continuing with a new supported configuration, or performing a new migration. Availability depends on the Migration Path, Service License status, selected configuration, current platform state, and technical feasibility. Entity Points usage continues to follow the rules in Section 5.

9. Add-ons and Custom Migration

Add-ons provide supported functionality beyond the default migration configuration and may be charged separately unless expressly included in a purchased package or approved quote. Each Add-on has its own supported scope and limitations.

Custom Migration may be required for custom fields, app or plugin data, extension data, custom database structures, non-standard relationships, tailored transformations, special URL or redirect behavior, Custom Platforms, or other bespoke requirements. Next-Cart will review feasibility before confirming the work. Only the scope included in an approved quote or written agreement is included in the Custom Migration price. Changes or additional requirements may require a revised quote.

10. Pricing, Payment, Taxes, and Checkout

Unless otherwise stated, prices are displayed in U.S. dollars. Pricing may depend on the Entity Points Plan, selected Migration Service, Add-ons, approved Custom Migration work, additional capacity, and other purchased services. The final amount accepted at Checkout, together with any separately approved quote or order-specific charge, represents the applicable purchase amount for that order. Discounts, taxes, and approved additional charges may apply. Payment is required according to the terms presented at Checkout or in the applicable approved quote.

11. Customer Responsibilities

You are responsible for providing accurate migration requirements and for confirming that you have the legal right and authority to access, copy, process, and migrate the data you provide to Next-Cart. You must maintain appropriate backups of the Source Store and Target Store before significant migration or launch-related changes. You must provide reasonably requested access and information when needed for migration, validation, or support, and you should revoke or rotate temporary credentials when they are no longer required.

You are also responsible for reviewing representative migrated data and confirming that the Target Store meets your business requirements before relying on it for production use. During active migration or support, you should avoid changes that may interfere with processing, validation, or issue investigation unless otherwise agreed with Next-Cart.

12. Third-Party Platforms and Technical Limitations

Next-Cart depends on Source Platforms, Target Platforms, APIs, hosting services, networks, third-party applications, plugins, extensions, and other systems that Next-Cart does not control. Platform changes, outages, API limits, security rules, unsupported structures, hosting restrictions, and other third-party conditions may affect migration availability, speed, functionality, or results. Next-Cart may recommend an alternative approach but cannot guarantee that a third-party limitation can be removed or bypassed.

13. Acceptable Use and Intellectual Property

You must not misuse the Website or Service. You may not attempt to hack, modify, reverse engineer, disrupt, or gain unauthorized access to Next-Cart systems; distribute malicious content through the Service; interfere with another customer's migration; process data that you are not authorized to process; or use the Service in violation of applicable law.

Next-Cart retains its rights in its website, software, interfaces, migration technology, documentation, branding, designs, text, and other proprietary materials. These Terms provide only the limited right to use the Service for its intended purpose. You may not reproduce, distribute, sell, license, modify, or commercially exploit Next-Cart proprietary materials without authorization.

14. Suspension, Termination, and Changes

Next-Cart may suspend or terminate access when reasonably necessary to address material violations of these Terms, non-payment, fraud, abuse, unlawful activity, security risks, unauthorized access, or circumstances that make continued provision of the Service technically or legally impracticable. Where appropriate, Next-Cart may provide notice or an opportunity to resolve the issue.

Termination or expiration of a Service License does not automatically create a right to a refund. Refund eligibility is governed by the Refund Policy. Purchases, renewals, upgrades, and new services may be subject to the version of these Terms and related policies applicable when that transaction is made.

15. Related Policies, Agreements, and Contact

These Terms should be read together with the Refund Policy, Service Level, Data Policy, Data Policy, applicable Migration Service Agreement, Pricing and Checkout information, approved Custom Migration quote or scope, and other order-specific terms. An order-specific document applies to the specific scope it expressly covers.
